TERMS OF SERVICE


Evoque Strategy is a brand of Vero Versant International, LLC (“Evoque,” “we,” “our,” or “us”), a New Jersey limited liability company operating the websites https://www.evoquestrategy.com/ and https://www.justevoque.com/

These Terms of Service ("Terms") form a legally binding agreement between Evoque and you—the person or entity (“you,” “your,” “user,” or “client”) accessing our website or using our digital marketing services.


By visiting our website, submitting a form, or engaging our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must refrain from using the site or engaging in our services.

4. Fees, Invoicing & Late Payments

Unless your signed agreement says otherwise:

  • Invoices are issued electronically and payable within 14 days
  • Late payments may incur interest at 1.5% per month (or the maximum allowed by NJ law)
  • We may pause services or withhold deliverables until past-due amounts are paid
  • You are responsible for reasonable costs incurred in collecting unpaid amounts, including attorneys’ fees

All fees are exclusive of applicable taxes unless stated otherwise.


5. Intellectual Property

5.1 Our Content

All site content (e.g., text, visuals, design, code, logos) is owned by Evoque or its licensors and is protected under U.S. and international IP laws. We grant you a limited, non-exclusive, non-transferable license to view the site for internal business use only. Any other use requires written permission.


5.2 Client Materials

You affirm that all materials you provide (e.g., trademarks, images, copy) are your own or licensed for use. You grant us a non-exclusive, royalty-free license to use, adapt, and reproduce such materials for the purposes of delivering contracted services.


6. Confidentiality

Both parties may share non-public, confidential, or proprietary information during an engagement. Each party agrees to:

  • Use such information only to perform or receive services
  • Exercise reasonable care to prevent disclosure
  • Avoid disclosing to third parties without written consent, unless legally required

These obligations survive termination of the engagement.


7. Disclaimers

You understand and agree that:

  • Marketing results depend on external factors like ad platform policies, algorithm changes, competition, and customer behavior
  • Evoque does not guarantee specific rankings, sales results, or business outcomes
  • All services and website content are provided “as is” and “as available”, without express or implied warranties

We make good faith efforts but cannot guarantee uninterrupted or error-free service.


8. Limitation of Liability

To the fullest extent permitted by New Jersey law:

  • Evoque shall not be liable for indirect, incidental, punitive, or consequential damages (including lost profits or data)
  • Our total liability shall not exceed the fees you paid us in the three (3) months prior to the event giving rise to the claim

This section shall not limit liability for fraud, willful misconduct, or violations of applicable law.


9. Indemnification

You agree to indemnify, defend, and hold harmless Evoque Strategy and its affiliates, officers, employees, and agents against claims, liabilities, or losses arising from:

  • Your misuse of the website or services
  • Your breach of these Terms
  • Any content or data you supply that infringes on third-party rights

We will notify you promptly of any such claim and may participate in its defense.


10. Termination

You or Evoque may terminate an engagement in accordance with your service agreement. If no termination clause exists:

  • Either party may terminate with 30 days’ written notice
  • You must pay for all work completed up to the effective date
  • We will deliver all finalized and paid-for materials in a reasonable format
  • Sections regarding IP, payment, confidentiality, disclaimers, liability, and dispute resolution will survive


11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles.

If a dispute arises that cannot be resolved informally:

  • Both parties agree to binding arbitration through the American Arbitration Association (AAA)
  • Arbitration will be held in Jersey City, NJ, unless the parties mutually agree otherwise
  • Each party bears its own legal and arbitration costs, unless otherwise ordered by the arbitrator

Nothing in this section prevents either party from seeking equitable relief (e.g., injunction) in a court of competent jurisdiction.


12. Changes to These Terms

We may update these Terms periodically. When we do:

  • We’ll revise the “Last updated” date at the top
  • We may notify users via email or website banner (for material changes)
  • Continued use of the site or our services implies acceptance of the revised Terms
